Our seminar, which is presented in collaboration with the Inter-American Affair Committee, will discuss the challenges and opportunities that arise during SPACS transactions.
Our speakers will explain how SPACS transactions work and where the challenges lay from a tax, regulatory and commercial standpoint. Our speakers will provide a comparative overview of SPACS in LATAM and the US and explain what lessons can be learned from each other.

David is a Partner at Allen & Overy and helps lead the firm’s Latin American capital markets practice. He specializes in international securities offerings, financial transactions and corporate governance. David has extensive experience representing underwriters and issuers across a wide range of sectors in public and private offerings of debt securities, liability management transactions, and SEC-registered and exempt equity IPOs, follow-ons and rights offerings. Most recently, David spearheaded more than 20 IPO and re-IPO projects in Brazil and led multiple debt capital markets financings across the region.
He has also advised numerous leading Latin American companies on SEC reporting obligations and U.S. stock exchange rules, and he has acted for lenders, arrangers and borrowers in corporate financings, restructurings and M&A transactions. He is fluent in Portuguese and Spanish, and he is proficient in French.
Lisa Zarlenga is a Partner at Steptoe & Johnson LLP. She represents public and private companies on federal income taxation issues, with a focus on tax policy issues with respect to tax legislation and Treasury guidance as well as on corporate transactional and planning matters. Drawing on her experience as Tax Legislative Counsel at the US Treasury Department’s Office of Tax Policy, Lisa marries substantive tax knowledge with strong relationships at Treasury and first-hand insights on the guidance and other processes at Treasury. She helps clients advocate for and resolve tax policy issues before the Treasury Department and IRS involving proposed and pending regulations and other administrative guidance, and before Congress involving legislation.
Ana Carolina Botto Audi
Ana Carolina is a Partner in the areas of Mergers and Acquisitions, Capital Markets, Private Equity and Venture Capital at Demarest. Ana Carolina Botto Audi led the team that advised the firm Alvarez & Marsal in the first SPAC in Brazil.
She concentrates her practice in advising national and international companies in the negotiation of transactional matters, including structuring purchase and sale transactions, acquisitions of equity interests (privately and on the stock exchange), drafting complex commercial contracts and joint ventures, reorganizations that include tax, regulatory, operational and strategic aspects, both domestic and multi-jurisdictional. Ana Carolina has particular expertise in advising private equity funds, family offices and other institutional investors. Ana Carolina also has extensive experience in special situations and litigation/arbitrations involving strategic and corporate commercial issues.
